Terms and Conditions

1. Introduction
Welcome to GreensShare.com (“GreensShare,” “we,” “our,” “us”), operated by GreensShare LLC. By accessing or using our website and services (the “Platform”), you (“you,” “user,” “buyer,” or “producer”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not use the Platform.
2. Platform Role & Liability Disclaimer
- GreensShare is a virtual marketplace that connects individuals and small-scale producers (“Producers”) with buyers for local, homegrown, and handcrafted food and goods.
- GreensShare does not grow, manufacture, produce, package, store, deliver, or inspect any items sold through the Platform.
- All transactions occur directly between Buyers and Producers. GreensShare is not a party to any sale.
- Nothing in these Terms creates any partnership, agency, or employment relationship between GreensShare and any user.
- You agree that GreensShare is not responsible or liable for:
- The safety, legality, labeling, or quality of items listed;
- The accuracy or reliability of listings;
- Any illness, injury, harm, loss, or damages arising from a transaction, product, or interaction.
The Platform is provided “as-is” and without warranties of any kind.
3. User Responsibilities
A. Producers (Sellers)
You must be at least 18 years old to create an account or list products on the Platform.
By listing products on GreensShare, you agree to:
- Comply with all federal, state, and local laws, including food safety, labeling, agricultural, and cottage food regulations.
- Accurately describe your products, including availability and pricing.
- Ensure that your products are safe, lawful, and properly labeled.
- Understand that Buyers assume certain inherent risks in purchasing homegrown or handmade goods, and you are solely responsible for compliance and product safety.
- Handle any required taxes. Producers are solely responsible for determining, collecting, reporting, and remitting any applicable sales taxes or other taxes associated with their transactions. GreensShare allows Producers to optionally connect third-party payment processors, such as Stripe, to accept card payments. While certain payment processors linked to GreensShare may provide optional tools to help calculate or collect taxes, use of such tools does not transfer tax responsibility away from the Producer.
B. Buyers
By purchasing items through GreensShare, you agree to:
- Exercise reasonable diligence and judgment when choosing products.
- Acknowledge that products may not be inspected or certified by GreensShare or any third party.
- Contact the Producer directly with questions or concerns.
- Accept that local food and handmade goods may carry limited warranties and assumed risk.
- Act in good faith, and refrain from harassment, threats, or misuse of the Platform.
4. Prohibited Items & Activities
The following are strictly prohibited on GreensShare:
- Drugs, controlled substances, or illegal pharmaceuticals
- Alcoholic beverages
- Tobacco products or vaping devices
- Cannabis, CBD, or hemp products
- Firearms, weapons, explosives, or hazardous materials
- Products illegal under federal law (including certain unpasteurized dairy products, unless expressly permitted in the Producer’s jurisdiction)
- Interstate shipment of food or products restricted by law without proper licensing
- Misleading, fraudulent, or deceptive listings
- Spam, hate speech, or abusive conduct in listings, messages, or profiles
GreensShare reserves the right to remove listings or users at its sole discretion if they appear unlawful or harmful.
5. Transactions and Payments
- At this time, GreensShare does not process payments. Buyers and Producers must arrange payment directly (e.g., cash at pickup or another agreed method).
- Producers are responsible for any applicable taxes associated with their sales.
- If digital payments are introduced in the future, GreensShare may deduct a disclosed service fee.
- Disputes must be resolved between Buyers and Producers. GreensShare may assist at its discretion but is not obligated to mediate or refund.
6. User Content and Conduct
- Users are responsible for all content they post, including text, photos, listings, and messages.
- By posting content, you grant GreensShare a limited license to display it in connection with operating the Platform.
- You must not upload or post content that is illegal, infringing, misleading, or harmful to others.
- Comments, reviews, or uploads may be removed at GreensShare’s discretion if they violate these Terms.
7. Indemnity
You agree to indemnify and hold harmless GreensShare LLC, its officers, employees, and partners from any claims, damages, liabilities, costs, or legal expenses arising from:
- Your use of the Platform;
- Your violation of these Terms; or
- Your violation of any laws or rights of third parties.
8. Termination
- GreensShare may suspend or terminate your account at any time for any reason, including violation of these Terms or applicable law.
- You may discontinue use of the Platform at any time.
9. Governing Law & Disputes
- These Terms are governed by the laws of the United States.
- Any disputes must be filed in the state or federal courts located in Summit County, Ohio, where GreensShare LLC is registered.
- Users waive any objection to jurisdiction or venue in those courts.
10. Changes to Terms
GreensShare may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
