PLEASE READ THIS TERMS AND CONDITIONS OF USE AGREEMENT (THE “TERMS AND CONDITIONS OF USE”) CAREFULLY. BY ACCESSING OR USING THIS WEBSITE OR ANY OTHER WEBSITE OF GREENSSHARE LLC, OR THEIR SUBSIDIARIES, AFFILIATES, OR AGENTS (COLLECTIVELY, “GREENSSHARE” OR “WE”) THAT LINKS TO THIS TERMS OF USE (COLLECTIVELY, THE “WEBSITE”) IN ANY WAY, INCLUDING USING THE SERVICES AND RESOURCES AVAILABLE OR ENABLED VIA THE WEBSITE (EACH A “SERVICE” AND COLLECTIVELY, THE “SERVICES”) BY GREENSSHARE OR USERS OF THE SITE (“USERS”), CLICKING ON THE “I ACCEPT” BUTTON, COMPLETING THE REGISTRATION PROCESS, AND/OR BROWSING THE WEBSITE”), YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH GREENSSHARE, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS AND CONDITIONS OF USE PERSONALLY OR ON BEHALF OF THE ENTITY YOU HAVE NAMED AS THE CUSTOMER, AND TO BIND THAT ENTITY TO THE TERMS OF USE.  THE TERM “YOU” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE WEBSITE.  IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES.

We recommend that you save these Terms and Conditions of Use to your computer or print a copy of them for future reference.

PLEASE NOTE THAT THE AGREEMENT IS SUBJECT TO CHANGE BY GREENSSHARE IN ITS SOLE DISCRETION AT ANY TIME.  When changes are made, GreensShare will make a new copy of the Terms and Conditions of Use available at the Website.

We will also update the “Last Updated” date at the top of the Terms of Use. Any changes to the Agreement will be effective immediately for new Users and will be effective thirty (30) days after posting notice of such changes for existing Users.  GreensShare may require you to affirmatively consent to the updated Agreement in a specified manner before further use of the Website.  If you do not agree to any change(s) after receiving a notice of such change(s), you shall stop using the Website.  Otherwise, your continued use of the Website constitutes your acceptance of such change(s). PLEASE REGULARLY CHECK THE WEBSITE TO VIEW THE THEN-CURRENT TERMS.

1. OUR SERVICES.
   1. Services Overview.  Our Services include the online networks and services that (a) connect individuals or entities seeking locally produced goods (“Customers”) with resources about sustainable living, farming, gardening, and locally produced products and food (“Produce”); (b) allow individuals or entities that have produced their own Produce (each, a “Producer”) to make their Produce available to Customers through a posted advertisement for such Produce on the Services (each, a “Listing”); and (c) allow Customers to make reservations for purchase of Produce in accordance with the terms provided by the Producer (each, a “Purchase”).  These Terms of Use apply to both Customers and Producers and their use of the Services. If you are a Producer, the Producer Terms of Use also apply to your use of the Services.
   2. Terms Applicable to Customers.
      1. Purchase. This Agreement shall govern any Purchase. There may be additional terms and conditions that apply to any request for a Purchase (each, a “Purchase Request”) or a Purchase that you make, including policies that are set by the applicable Producer that owns or sells such Produce (“Produce Rules”). These Produce Rules may be set forth on the Service or otherwise communicated to you via a Purchase confirmation email. Your ability to make a Purchase for any Produce is subject to: (i) availability of the Produce; and (ii) payment of all fees and charges incurred in Purchasing the Produce.
      2. Produce Terms and Conditions.  You agree to comply with all applicable Produce Rules and applicable laws, rules, regulations, and local ordinances in connection with your use of the Service and any Purchase. You understand that a violation of Produce Rules may result in cancellation of your Purchase(s), in your being denied access to any Purchase, or in your forfeiting any monies paid for such good(s). You hereby authorize us to debit or charge your account (via the method of payment associated with your account) for any costs we incur as a result of such violation (including any damage or physical injury you cause). GreensShare may at any time require that you agree to Supplemental Terms prior to Purchase certain types of Produce.
      3. Produce. When you make a Purchase of any Produce, you acknowledge and agree that GreensShare shall have no liability to you in connection with such Purchase, including without limitation with respect to any claim arising from or related to your consumption or use of such Produce, damage caused by or in connection with your consumption or use of such Produce, or otherwise. Each Producer is solely responsible for obtaining licensing and/or certification for such Producer’s Produce that is required by local laws, regulations, and/or code and providing such licensing and/or certification for such Produce to any Customer that makes a Purchase for such Produce. Local law may require a license or other permit to consume or use Produce in addition to any requirements set forth in the Produce Rules. GreensShare shall have no liability in connection with a Customer’s license or permit, or failure to obtain the same.
